These Terms of Service ("Terms") govern your access to and use of The Checklist Compounder (the "Publication"), published at thechecklistcompounder.substack.com by Lavel Tiwana ("we", "us", "our"). By subscribing to or reading the Publication, you agree to these Terms.

1. Nature of the content — editorial, not advice

The Publication is an editorial newsletter that applies a written checklist methodology to publicly-traded Canadian microcap securities. Every issue is for informational and educational purposes only.

Nothing published here is investment advice, financial advice, legal advice, tax advice, or a recommendation to buy, sell, or hold any security. No reader should treat any audit, verdict, score, or written statement as a substitute for their own due diligence, their own professional advisors, or their own risk judgment.

The author is not your financial advisor, broker, dealer, or fiduciary. Reading this Publication does not create any advisory relationship.

2. Editorial position policy

As a matter of editorial policy, the Publication does not disclose individual securities positions. The author may or may not hold positions in any company written about, in any direction, at any time. Position information will not be disclosed in any issue, marketing surface, or correspondence.

Readers should assume the author has financial exposure that may align with, oppose, or be unrelated to the content of any issue. This policy is intentional and is not a representation that the author has no positions.

3. Forward-looking statements

Audits may contain forward-looking statements about companies, industries, or market conditions. Forward-looking statements are subject to risks and uncertainties — actual outcomes may differ materially from any projection. The Publication makes no representation that any forward-looking statement will prove correct.

4. Accuracy and revisions

We make a good-faith effort to source facts from issuer disclosures (SEDAR+, EDGAR, audited financials, MD&A, press releases) and reputable third parties. We do not warrant the accuracy, completeness, or timeliness of any specific data point. Errors will be corrected in subsequent issues when identified; the original archived issue is preserved as published.

5. Subscriber conduct

  • Forward, reproduce, or redistribute paid content outside your individual access, except as expressly permitted by Substack's terms.

  • Use the Publication's content to create, train, or input into automated systems (including AI/ML models) without our written consent.

  • Use any Publication content for solicitation, advisory services, or commercial publication without our written consent.

  • Reverse-engineer, scrape, or extract content via automated means.

6. Intellectual property

All written content, audit grids, scorecards, illustrations, and design elements of The Checklist Compounder are © Lavel Tiwana, all rights reserved. Substack's platform, components, and infrastructure are property of Substack Inc. You receive a personal, non-transferable, non-commercial license to read content you have subscribed to access; no other rights are granted.

The "Checklist Compounder" name, the publication logo, the wordmark, the orange "Compounder" accent treatment, and the Gates / Scorecard / Verdict / Pre-mortem terminology are editorial trademarks of the Publication.

7. Subscription, payment, refunds

Subscription billing is handled by Substack and Stripe. Pricing, billing intervals, and currency localization are controlled by Substack's billing tools. Refunds are at our sole discretion; cancellation of a recurring subscription stops future renewals but does not retroactively refund completed billing periods unless we say otherwise in writing.

Founding-member fees and pledges are non-refundable except as required by law.

8. Substack platform

The Publication is hosted on Substack. Your use of the Substack platform is also subject to Substack's own Terms of Use and Privacy Policy at substack.com. In any conflict between these Terms and Substack's platform terms, Substack's platform terms govern the platform-level relationship; these Terms govern the Publication-level relationship between you and us.

9. Disclaimer of warranties

The Publication is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, the author and the Publication shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from or related to the Publication, whether in contract, tort, or otherwise. Total cumulative liability shall not exceed the total amount you paid us, if any, in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless the author from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms or your misuse of Publication content.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles. Disputes shall be resolved in the courts of Ontario; you consent to the exclusive jurisdiction of those courts.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in an issue of the Publication or by email. Continued subscription or use after a change constitutes acceptance.
